This confidentiality agreement precedent is designed for use where one party is promising another party it will keep certain information confidential. In other words, it is a unilateral or "one-way" confidentiality agreement.

For example, the precedent may be used by an author disclosing the details of a project to a publisher in pre-contract negotiations, or by a publisher commissioning an author or editor and needing to disclose information before a publishing contract is signed.
